The firm is a Japan-based law firm specializing in providing diverse legal services to both domestic and international clients, aiming to assist businesses in optimizing their operations and ensuring compliance with Vietnamese laws.
Responsibilities:
- Provide legal advice to local and foreign businesses on all aspects of Vietnam law.
- Conduct and manage legal due diligence investigations for proposed acquisitions of shares or capital contributions in specific industries.
- Draft and review documents such as memorandums of understanding, share sale and purchase agreements, capital assignment agreements, capital subscription agreements, asset sale and purchase agreements, and shareholders or members agreements, aligned with the acquisition structure and other similar transaction agreements between the seller and buyer.
- Advise on all legal matters related to foreign investment in Vietnam across various industries as requested by clients, including establishing business organizations, capital contributions or share purchases, executing investment projects, and business cooperation contracts, while managing legal procedures in compliance with laws (investment policies, M&A approvals, shareholder information certificates, amendments/issuances of IRC, ERC, licenses, permits, approvals, etc.).
- Provide legal advice on business lines for foreign-invested companies and handle procedures for obtaining business licenses for conditional business lines applicable to such companies in Vietnam.
- Analyze and advise on dispute cases related to contractual rights and obligations, intellectual property rights infringements, etc. Negotiate with opposing parties to reach agreements that benefit the client and assist local law firms in court procedures.
- Handle all legal matters arising from day-to-day business operations.
- Supervise and manage projects, ensuring they are delivered on time and within budget, meeting client expectations.
- Develop and maintain client relationships as well as win new client work.
- Provide training to junior lawyers and paralegals.
Requirements:
Qualification: Bachelor's degree in Law.
Language Skills: Business-level English.
Experience:
- At least 2 years of Post Qualification Experience (PQE) for the Associate role.
- Previous experience working at international or leading domestic law firms.
- Extensive experience in drafting and reviewing corporate and commercial contracts, joint venture agreements, employment contracts, and matters related to mergers and acquisitions, lease agreements, loan agreements, license agreements, etc.
- Corporate experience involving cross-border transactions.
- Strong technical skills, client relationship skills, and commercial acumen.
