Title: Legal Manager or Senior Legal Officer

Subordinate: L&C Officer(s) and/or Project Licensing Officer(s)
Job Description:
The Manager is responsible for preparing, managing, and conducting all legal aspects of project development, ensuring compliance with relevant regulations, and managing the relevant stakeholders/external counterparties.
1/ Legal & Compliance for the renewable energy projects and energy efficiency projects (collectively, Projects):
- Contract management: Drafting, negotiating, and reviewing contracts and relevant transaction documents.
- Legal check: Conduct thorough legal reviews of potential projects with regard to (including but not limited to) lands, buildings, and legal entities.
- M&A and financing/refinancing activities: Conduct thorough legal due diligence, pre-signing, signing, closing, and post-closing.
- Legal opinions and solutions: Providing legal advice and solutions to internal stakeholders (including management) and external parties involved.
- Supporting and managing project licensing work (done by internal and/or external stakeholders). On top of the above-mentioned tasks, ensuring all legal aspects are addressed, deadlines are met, and compliance is fulfilled.
- Regulatory compliance: Staying up-to-date on the ever-evolving legal and regulatory landscape for renewable energy and EE.
- Governance: Ensuring the company/Projects adhere to best practices in governance, particularly regarding signing and approval processes.
- Risk management: Identifying legal and compliance risks associated with the Projects and developing strategies to mitigate them.
2/ Project licensing:
- Developing and managing licensing strategies for the Projects.
- Leading and/or coordinating the permitting process with internal and/or external stakeholders.
- Monitoring compliance with licensing conditions and addressing any post-licensing requirements.
3/ Litigation Management: In the event of legal disputes, manage and coordinate with external legal counsel to ensure the company's interests are effectively represented.
4/ Policy advocacy:
- Participating in advocating for policies at the national level (Vietnam) that support the growth and development of Projects.
- Collaborating with internal stakeholders on policy advocacy efforts.
5/ Team management:
- Providing leadership and guidance to a team of legal professionals.
- Fostering a collaborative and supportive work environment for the legal team.
6/ Performing other tasks as assigned by the direct manager and the Management.
Requirements:
Education:
- Law University.
- Lawyer training course.
Experience:
- 7 -10 experience years (at least 2 - 3 years in law firms, 2 - 3 years in reputable companies/ groups).
- A qualified lawyer (with a practice certificate) is a plus.
- Other work experiences as described in recruitment requirements.
Skills & Knowledge:
- Dept knowledge in the legal field, especially for the above-mention JD.
- Excellent in leading both internal and external communications/ negotiations.
- Good leadership skills.
- Details-oriented, with a business mindset, and problem-solving capacities.
- Excellent in English.
