SCOPE OF POSITION
The Manager, Real Estate (Legal) will play a key role in overseeing and managing legal matters related to the company's real estate portfolio, encompassing acquisitions, leases, development projects, and property management. This individual will work closely with cross-functional teams, including project development, finance, operations, and external legal counsel, to ensure compliance with legal standards and mitigate risks. Real estate projects include, but are not limited to, hotel and resorts, villas and condominiums sales, retirement complex, hospitals, retails, recreations, entertainments, theme parks and other suitable potential new developments.
RESPONSIBILITIES AND ACCOUNTABILITIES
- Provide expert legal guidance on real estate transactions, development agreements, property acquisitions, leases, licensing and related matters.
- Draft, review, and negotiate a wide range of legal documents, including purchase agreements, lease agreements, joint venture agreements, and service contracts. Oversee due diligence processes for property acquisitions, including zoning and land use compliance, and environmental impact assessments.
- Work in close cooperation with senior management, and related departments or business units on respective matters to draft and review company's contractual agreements, and other legal documents in both English and Vietnamese, such as sale and purchase, lease, construction, consultancy contracts, commercial contracts, financial contracts, etc.
- Prepare a wide variety of written materials for the purpose of documenting activities, conveying information, and/or supporting presentations concerning policy and procedure changes.
- Conduct legal analysis and research to keep abreast of all relevant changes of laws and advice Management on the required changes and impact to the operations the project licensing and company's development strategy. Monitor changes to regulatory requirements and proactively handling and communicating regulatory developments.
- Identify potential legal risks related to property transactions company's real estate development, real estate licensing and propose mitigation strategies and liaise with specialist external counsel as and when required.
- Assist colleagues on an ad-hoc basis on legal issues pertaining to different functions in our project (commercial contracts, corporate issues, licensing, labor issues, etc.)
- Build and maintain professional working relationships with relevant local and central authorities and legal bodies.
- Develop and implement the storage and management of the entire legal records system to ensure completeness, accuracy, and scientific for easy reference and use. Store and manage e-copy and scans on servers and computers, store and manage hard copies.
- Perform other tasks as may be assigned from time to time by Line Manager and the Company Management.
REQUIREMENT
- Bachelor's degree (or above) of related field.
- A minimum of 5-8 years of relevant experience in real estate law, with a focus on large-scale development projects, hospitality, or resort/casino industries.
- Membership in a recognized bar association or equivalent professional certification (preferable).
- Demonstrated expertise in real estate transactions, property law, contract negotiation, and regulatory compliance.
- Exceptional communication and interpersonal skills to collaborate effectively with cross-functional teams and external partners.
- Ability to manage multiple projects and deadlines with keen attention to detail.
