The M&A Analyst will play a pivotal role in supporting the strategic growth of AsiaLabs VN in the Vietnam market through mergers and acquisitions. The successful candidate will report directly to the Director of Finance and will be responsible for collecting and analyzing data from target companies, developing market intelligence, identifying viable investment opportunities, formulating term sheets, and aiding in decision-making processes for potential acquisitions.
Job Responsibilities
Market Intelligence:
- Conduct thorough research and analysis of target companies, including financials, revenue, market position, and workforce.
- Collaborate with cross-functional teams to ensure accurate and relevant information is gathered.
- Provide insights and recommendations based on the gathered data.Investment Pipeline:
- Identify, evaluate, and prioritize potential lab acquisitions.
- Prepare reports and presentations for the Board of Directors to support strategic decision-making.
- Maintain a robust pipeline of investible opportunities and provide regular updates and other key stakeholders.
- Stay informed of industry trends and market conditions to identify potential acquisition opportunities.
Deal Structuring and Term Sheet formulation:
- Assist in considering different deal structures, drafting formal term sheets, analyzing scenarios, preparing negotiation tactics, and attending negotiation discussions.
Due Diligence:
- Assist in the due diligence process by evaluating financial and legal documents of target companies.
- Prepare detailed reports outlining each target's financial health, risks, and opportunities.
- Prepare post-merger integration reports on incorporating new acquisitions into the existing operations.
- Investment Committee Meetings and Closing Transaction:
- Support Investment Committee meetings by preparing the documents, taking the meeting minutes and following up with the requests of the meeting.
- Manage the closing stages of the transaction. Ensure proper documentation, timely clearances, applications, funds transfer, etc.
Ad hoc Analysis:
- Support with ad hoc tasks involving financial analyses and evaluation.
- Be prepared to provide insights and recommendations on a variety of business issues
Knowledge & Qualifications
The ideal candidate must have:
- Must have a minimum of 3 years of experience in investment or M&A environments.
- M&A-related experience is preferred
- A strong background in finance, a keen analytical mind, and a willingness to develop a deep understanding of the labs market in Vietnam.
- Holding a CFA qualification and/or a finance-focused MBA is strongly preferred.
- Prior experience in investment analysis or a related field is strongly preferred.
- Must be able to work independently, manage multiple tasks simultaneously, and communicate effectively with all levels of the organization.
- Must be prepared to work to demanding deadlines and be comfortable with data ambiguity and uncertainty.
Additional Skills:
- Financial modeling expertise and proficiency in accounting.
- Valuation techniques expertise and familiarity with corporate law and merger processes.
