Job Description

The Senior Legal Counsel will provide expert legal guidance and support across the organization, managing a broad range of legal matters with a focus on corporate, compliance, regulatory, and risk management. This role is responsible for ensuring the company's operations, transactions, and policies adhere to all applicable laws and regulations, while also aligning with strategic business goals. The Senior Legal Counsel will serve as a trusted advisor to senior management, proactively managing legal risk and leading a small legal team, if applicable.

Legal Strategy & Advisory

  • Provide strategic legal advice to support business objectives, helping to mitigate risk and optimize decision-making.
  • Collaborate closely with senior executives and cross-functional teams, understanding business needs and proactively addressing legal implications.
  • Advise on key corporate governance issues, regulatory compliance, and legal risks associated with various business strategies and initiatives.

Compliance & Risk Management

  • Lead compliance initiatives, ensuring the company adheres to legal and regulatory requirements, including corporate, employment, data protection, and anti-corruption laws.
  • Develop, implement, and maintain policies and procedures to promote a culture of compliance and risk management.
  • Conduct regular risk assessments and training sessions for employees to ensure awareness of and adherence to compliance policies.

Dispute Resolution & Litigation

  • Manage and resolve disputes, overseeing any litigation or arbitration processes as required.
  • Collaborate with external counsel as necessary, ensuring cost-effective and strategic case management.
  • Provide support in internal investigations and responses to government or regulatory inquiries.

Corporate Transactions & Mergers & Acquisitions (M&A)

  • Provide legal support for corporate transactions, including mergers, acquisitions, and joint ventures.
  • Conduct due diligence and coordinate with relevant stakeholders to ensure transaction compliance and minimize risk exposure.

Contract Management & Negotiation

  • Draft, review, and negotiate a range of contracts, including but not limited to vendor agreements, partnership agreements, commercial contracts, and employment contracts.
  • Ensure contracts and agreements are compliant with internal policies and all applicable laws, providing recommendations for improvements to safeguard company interests.

Qualifications

Other tasks as assigned

  • Education: Equivalent law degree from an accredited institution; licensed to practice law in jurisdiction.
  • Experience: 5 - 7 years of relevant legal experience, with a strong background in corporate, commercial, or regulatory law. Prior in-house experience is preferred.
  • Deep understanding of legal principles in corporate law, commercial contracts, and regulatory compliance.
  • Proven negotiation and contract management skills.
  • Strong analytical, problem-solving, and decision-making abilities.
  • Excellent interpersonal and English communication skills, with the ability to influence and collaborate effectively across all levels of the organization.
  • Ability to manage multiple priorities in a fast-paced environment and make sound judgments under pressure.
